Terms of Service

Sign.UseWise™ is an email signature management SaaS that enables you to create and deploy Google Workspace (and others, in the future) email signatures throughout your organization and manage other aspects of the office productivity suite.

ANY USE OF OR ACCESS TO ANY KIND OF THE Miadria LLC SERVICES (THE APPLICATION, WEBSITE, ETC.) SHALL CONSTITUTE YOUR ACCEPTANCE OF THESE TERMS AND THEY WILL BE LEGALLY BINDING.

BY ACCEPTING THIS AGREEMENT, YOU AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES. THE SERVICES ARE INTENDED FOR BUSINESS USE. IF YOU ARE A MINOR IN YOUR PLACE OF RESIDENCE, YOU MAY NOT USE THE SERVICES. BY USING THE SERVICES, YOU REPRESENT AND WARRANT THAT YOU ARE NOT A MINOR.

PLEASE DO NOT MAKE ANY USE OF THE SERVICES UNLESS YOU AGREE TO THE TERMS AS DEFINED ABOVE.

The following terminology applies to these Terms and Conditions:

– “We”, “Us”  or “Our” in this document shall include Miadria LLC, the company founded and located in the United States of America, Houston, Texas, all related companies in Miadria Group, the website located at usewise.app, the Sign.UseWise™ solution and any related service and, where appropriate, also the owners of the Service, its managing body, its operators, its employees, employees of other related companies in the Miadria Group and any other representatives.

– “You” and “your” means Customers and/or Subscribers and Users accessing the site or using Services 

Please read the Terms of Use carefully, as they constitute the applicable conditions to the contractual relationship between the Customer and Miadria LLC.

The Terms and validity

The Terms

The terms in this document shall include these Terms, the Privacy Policy (posted on https://usewise.app/sign-usewise/privacy-policy/ ), Fair Usage Policy (posted on https://usewise.app/sign-usewise/fair-usage-policy/) Cancellation and Refunds Policy (posted on https://usewise.app/returns-and-refunds-policy/) and any other policy, guidelines or terms published by Us or applying to any of the Services. The Terms set forth the legally binding agreement for accessing any of the Services. “The Services” in this document shall include any and all services We may deliver to you or other users, whether by the Sign.UseWise™ app, the usewise.app website or in any other manner.

Modification to the Terms

Miadria LLC reserves the right, at Our sole discretion, to modify these Terms and conditions. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you may cease any further use of the service and contact us for a different resolution. 

We advise you to periodically read the Terms of service, as they may change from time to time. The latest version of Sign.UseWise™ Terms of service will be posted on this exact URL each time.

Services

Use of services 

Subject to these Terms, Miadria LLC grants Customer and its users, where users are individuals affiliated with Customer who utilize any of the Customer’s Google Workspace (“User/s”) a non-exclusive, non-transferable, non-sub-licensable license to use the Service to:

(i) Create and manage email signatures;

(ii) Create and modify Marketing campaigns;

(iii) Set the signature for a user, group, organizational unit or domain. Set and manage Send As addresses for users and groups. Grant administrative rights to User, and use other functionalities available in the solution’s user interface;

(iv) Customize the standard features of the Service;

(v) Receive reasonable help and guidance from Us regarding the use of the Service.

User behavior – prohibited activities

(i) Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;

You may not access or use the Service for any purpose other than that for which we make the Service available. When submitting Content and using the Service the Customer agrees not to:

(ii) Infringe upon the applicable legislation and reglementation;

(iii) Steal the identity of any natural person or legal entity, falsify or alter headers or logins in order to conceal or falsify the origin of any content sent out through the Service;

(iv) Disclose confidential information, information falling under business confidentiality or infringe on patents, brands, trade secrets, literary and artistic property rights or on any other property rights belonging to any natural person or legal entity;

(v) Spread viruses, computer codes, files, programs or any content intended to interrupt, delete, or limit directly or indirectly the proper functioning of the service or to affect third parties;

(vi) Disseminate any unsolicited or unauthorized advertising, promotional materials, ‘junk mail’, ‘spam’, ‘chain letters’, ‘pyramid schemes’, or any other form of such solicitation.

This list of prohibitions provides examples and is not complete or exclusive. We reserve the right to (i) terminate your access to your account and (ii) delete or remove any Content; with or without cause and with or without notice, for any reason, or for any action that Sign.UseWise™ determines is inappropriate or disruptive to this Service. We may report to law enforcement authorities any actions that may be illegal, and any reports it receives of such conduct. 

Fair usage

Access to our Service assumes reasonable and fair use of Sign.UseWise™ on your part. Miadria LLC has a Fair Usage Policy (posted on https://usewise.app/sign-usewise/fair-usage-policy/) that manages the inappropriate use and makes sure the service can be used fairly by everyone.

Modification to service

Miadria LLC retains the right to modify its services, withdraw or add new features. Customers may be notified of such modifications via appropriate channels.

Help and support

Miadria LLC will provide reasonable technical support to customers. You may address using our support email address or contact us directly from Sign.UseWise™ (Contact us page). We do not undertake to supply any support at all times, but we will do our best to offer reasonable support if we can.

Registration and user account

In order to use Our services, you must have a Google Workspace account (super admin account). When you create an account with Sign.UseWise™, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

To access the Sign.UseWise™, the Customer should use a high-speed Internet connection and a web browser. The Customer must preemptively appoint an Administrator who will have the ability to access the Account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service (i.e. sign in with a Google Workspace account using OAuth 2.0).

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

It is your responsibility to keep your password and other Account details private and confidential. Any use or misuse of the password or of your Account shall be your responsibility alone even if not executed by yourself.

Subscriptions

Sign.UseWise™ is a subscription-based service. Customers will be billed in advance on a recurring and periodic basis (Billing cycle). Billing cycles are set on a monthly or annual basis. Customers will be charged for the service at the beginning of every billing cycle, depending on the pricing plan chosen. 

For the monthly plan, Service is charged at the beginning of each month, and for annual commitment, Service is charged at the beginning of each year. Customers may change the number of licenses during the billing cycle but it will not influence the price paid for that billing cycle. Licenses added during the previous billing period will be charged only in the next billing cycle.

Purchases

To use the Service, the Customer must purchase a yearly or monthly subscription. If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, and your billing address. The Customer agrees to give accurate billing information and to keep them up to date at all times.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

By submitting such information, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases.

Miadria LLC may in its sole discretion, based on the number of subscriptions they want to purchase, grant certain Customers the right to purchase subscriptions with invoicing.

Otherwise, invoicing would be available only to those Customers who purchased a yearly subscription to our Service.

Subscription renewal

Your subscription will be automatically renewed at the end of the billing cycle. If you want to cancel your subscription renewal, contact Sign.UseWise™ customer service.

Fee changes

Miadria LLC, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Miadria LLC will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Trial period

Miadria LLC may offer a trial to customers for a limited period of time (15 days). You can access and deploy trial versions of our Sign.UseWise™ app through Google Workplace Marketplace. You can then test the application over a trial period in order to familiarize yourself with the Service and check its features. 

During the solution testing phase (Trial period), the use of individual features may be limited. The current terms of the trial period are specified in the price list on the usewise.app website.

You will not be required to enter your billing information in order to sign up for the trial. 

You will be automatically notified of the need to buy or extend the license or stop using the solution before the expiry of the trial period. If no payment method has been added, the Service will automatically be deactivated at the end of the Trial.

No more than one trial subscription per person and domain is allowed. You can continue to use email signatures created and deployed to Google Workspace during the trial period, but you cannot make any further changes using Service.

Intellectual property

The Service includes copyrighted protected content, features and functionalities and they are and will remain Our exclusive property. The Service is protected by copyright, trademark, and other laws of both the United States of America and foreign countries. You may not make any use of such content or trademarks without Our prior written consent submitted.

Links to other websites

Sign.UseWise™ may contain links to other third-party websites or services which are not owned or controlled by Miadria LLC.

Miadria LLC has no control over, and assumes no responsibility for the content, privacy policies or practices of any third-party websites or services. Sign.UseWise™ will not be responsible, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on such content, goods or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and the privacy policies of any third-party websites or services that you visit.

Content

The term Content refers to text, graphic, videos, visuals, or other material which you post, link, store and share using Sign.UseWise™. You are responsible for the Content that you upload, publish, display, link to or otherwise make available on the Service, including its legality, reliability, and appropriateness.

Miadria LLC reserves the right to review any content posted using our service and delete or block access to it, for any reason we may find to be justified in our sole discretion, especially: (i) to prevent misuse of the services; (ii) when we deem the content to be in breach to this Terms of use, or an infringement of any applicable law.

Termination

This agreement can be terminated if the customer requests deactivation or deletion of the account. Miadria LLC retains the right to terminate or suspend your account immediately if a customer breaches the Terms of service.

If your Services are cancelled or terminated, your right to use the Services stops immediately and your license to use the Services ends. You must then uninstall the solution, or, alternatively, we may disable it. 

Privacy

In order to provide the Services, we collect certain information about you. For more information about how we collect, use, and share that data, please see our Privacy Policy.

Availability, errors and inaccuracies

We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other websites.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. 

We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Limitation of liability

YOU AGREE THAT Miadria LLC SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF Miadria LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL Miadria LLC’s ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.

Force majeure

Neither party shall be liable for delay and damage caused by an impediment beyond the party’s control and which the party could not have reasonably taken into account at the time of conclusion of the agreement and whose consequences the party could not reasonably have avoided or overcome. Such force majeure events shall include, if not proven otherwise, inter alia, war or insurrection, earthquake, flood or other similar natural catastrophe, interruptions in general traffic, data communication or supply of electricity, import or export embargo, strike, lockout, boycott or other similar industrial action. A strike, lockout, boycott and other similar industrial action shall also be considered, if not proven otherwise, a force majeure event when the party concerned is the target or a party to such an action.

A force majeure event suffered by a subcontractor of a party shall also be considered a force majeure event in relation to the party if the work to be performed under subcontracting cannot be done or acquired from another source without incurring unreasonable costs or significant loss of time.

Each party shall without delay inform the other party in writing of a force majeure event and the termination of the force majeure event.

Indemnification

You agree to defend, indemnify and hold harmless Miadria LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses (actual and potential), liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from your use of and access to the Services, including any data or Content transmitted or received by you, any other party’s access or use of the Services within your Account, or your violation of these Terms, applicable law, rule or regulation.

Governing law

These Terms shall be governed and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service
